RVezy Affiliate Program Terms and Conditions

Overview

This Rvezy Affiliate Program Terms and Conditions (these “Affiliate Terms”) contain the terms and conditions that apply to your participation as an “Affiliate” in RVezy’s Affiliate Program. The purpose of these Affiliate Terms is to structure the terms of the customer referral flow between your web site and the RVezy website, RVezy App and/or RVezy APIs, and to make clear our respective obligations with respect to the Agreement. Please note that throughout this Agreement, "we," "us," and "our" refer to RVezy, and "you," "your," and "yours" refer to the affiliate.

In accepting these Affiliate Terms and Conditions, you are also hereby accepting RVezy’s standard Terms of Service (our “Standard Terms”), which these Affiliate Terms supplement.  If you are a U.S. resident or organization, this includes your agreement to arbitrate any claims between you and RVezy under these Affiliate Terms, and to waive (1) your right to a jury trial in connection with such claims and (2) any right to bring such claims on a class basis.  The Standard Terms also contain disclaimers of warranties and limit the amount you can recover in connection with a claim against RVezy, among other terms – you should review them fully and understand that they form part of the binding agreement you are forming with us.

You also agree that we will apply our Privacy Policy to data and information that we receive from you in connection with your participation in the Affiliate Program.   However, other than information you provide us in connection with registration and payments as described in the Privacy Policy, we do not intend to collect from Affiliates any personally identifying information of third parties from you in connection with your participation in the Affiliate Program, and you agree that in connection with your participation in the Affiliate Program, you will not provide us with third party personal information unless we expressly request such information from you.

Affiliate Obligations

To begin the enrollment process, you must complete and submit the online application via the RVezy Affiliate Program page. RVezy reserves the right to reject or cancel pending applications, or terminate any organization’s existing participation at any time if we determine that the Affiliate’s site or activities are unsuitable for the Program for any reason. Examples of conduct justifying such termination include, but are not limited to:

  • Promoting or housing illicit content (such as sexual, violent, discriminatory, and illegal content).
  • Incorporating any materials which infringe or assist others to infringe on any copyright, trademark or other intellectual property rights or to violate the law.
  • Including "RVezy" misspellings or any other unapproved marketing assets related to RVezy brand.
  • Being in any way unlawful, harmful, threatening, defamatory, obscene, harassing, or racially, ethnically or otherwise objectionable towards RVezy employees, owners, renters or partners.
  • Containing software downloads that potentially enable diversions of referral fees from other Affiliates in our program.
  • Creating a site or marketing material that in any way implies or explicitly misleads customers to believe you are RVezy or any other affiliated business.

In order to accurately track referral impressions, clicks, conversions, and other key metrics associated with your referral campaigns, it is the Affiliate’s sole responsibility to correctly implement tracking code for each banner, text link, general affiliate link, or any other referral collateral, and to comply with all applicable laws, including privacy laws, in doing so. RVezy is not liable for any referral fees an Affiliate may not receive as a result of improperly implemented tracking links.

RVezy reserves the right, at any time, to review the placement of your referral links and require that you make the necessary changes to remain compliant with the guidelines provided to you in order to maintain your participation in the Affiliate Program.

It is the sole responsibility of the Affiliate to follow all applicable IP laws that pertain to your site. RVezy is not responsible should you use another party’s copyrighted material or other IP in violation of the law or any third party rights.  We will take reasonable steps to remove infringing material from the Website and our Platform as more fully set forth in our Copyright Policy.

RVezy Rights and Obligations

RVezy reserves the right to terminate the applicability of these Affiliate Terms and your participation in the RVezy Affiliate Program immediately and without notice to you should you commit fraud in your use of the RVezy Affiliate Program or should you abuse it in any way, including but not limited to engaging in any prohibited conduct listed under the heading “Affiliate Obligations” above. If such fraud or abuse is detected, RVezy shall not be liable to you for any referral fees for fraudulent sales.

If you are already a party to the Standard Terms, these Affiliate Terms will supplement  and become an effective part of your agreement with RVezy upon our acceptance of your Affiliate application, and will continue unless terminated hereunder.  If you are not already a party to the Standard Terms, then these Affiliate Terms and the Standard Terms will become effective between you and RVezy as of our acceptance of your Affiliate application.

Termination

Either you or we may end your participation in the Affiliate Program under these Affiliate Terms AT ANY TIME, with or without cause upon written notice to the other party, except in cases in which a superseding document outlines a different process. Upon termination, RVezy will pay you any validly earned and payable referral fees arising prior to the date of such termination.  The provisions set forth in the “Confidentiality” section of these Affiliate Terms, along with all applicable provisions of the Standard Terms that survive termination of such terms, will survive termination of these Affiliate Terms.  To the extent you remain a “User” under the Standard Terms following termination of these Affiliate Terms, the Standard Terms will continue to govern your use of RVezy’s Services.

Modification

RVezy reserves the right to update and change the Affiliate Program Terms and Conditions by posting updates and changes on the RVezy website (https://www.rvezy.com/affiliates/terms). Modifications may include, but are not limited to, changes in the payment procedures and RVezy's Affiliate Program rules. If significant changes are made, we will provide reasonable notice by email. It is your responsibility to check the Terms from time to time for any update or changes that may impact you, and you agree that RVezy has no liability arising from your failure to do so.  Notwithstanding the foregoing, the contents of Schedule A to these Affiliate Terms as agreed among you and RVezy can only be modified with your consent and ours (including consent by click-through or email).

Payment Terms

Note: Payments are subject to the following terms unless otherwise specified in Schedule A hereto outlining any special payment terms.

Referral fees on RVezy referrals are determined as follows:

  • For rental referrals, the affiliate will receive a referral fee when the referred renter’s first paid booking is confirmed. Only applies to new renters not previously signed up for RVezy.
  • For RV owner referrals, the affiliate will receive a referral fee when the referred owner has their RV listing approved on RVezy and completes their first paid booking. Only applies to new RVs not previously listed on RVezy.

First click attribution and indefinite cookie unless otherwise specified.

In order to receive a payment, Affiliates must reach a minimum balance of $100; pending amounts will be carried over to the following payment period and paid when the aggregate amount due reaches $100.

Payment periods will correspond with RVezy’s Financial Quarters, which are as follows: January, February, and March (Q1); April, May, and June (Q2); July, August, and September (Q3); October, November, and December (Q4).

Affiliates are entitled to receive approved referral fees within fifteen (15) business days following the end of the quarter in which such fees are earned. Affiliate will earn commissions in accordance with the agreed upon terms described in Schedule A approved by you and RVezy in connection with the acceptance of your application.

All referral fee payments will be due and payable in United States Dollars only, except as otherwise determined by RVezy in its sole discretion. Payment will be made through electronic funds transfer or any other method chosen by RVezy in its sole discretion.  For clarity, no referral fees shall be payable except as expressly provided in Schedule A.  RVezy shall determine, in its sole discretion, the availability and amount of any particular referral fee, and that determination will be binding for all purposes.

Promotion Restrictions

Certain forms of affiliate advertising are prohibited by RVezy. Said advertising methods include, but are not limited to:

  • Spam in any shape or form
  • Unsolicited Commercial Email (UCE)
  • Bidding of RVezy-branded terms on any SEM platform. The term “RVezy” must be negative matched at the campaign level for said platforms
  • Driving traffic via unsolicited browser popups, new windows, toolbars, browser applications and/or extensions
  • Cookie Stuffing

Confidentiality

RVezy may disclose to the Affiliate certain information as a result of Affiliate’s participation in the Program, which information we consider to be confidential (herein referred to as “Confidential Information”). For purposes of these Affiliate Terms, the term “Confidential Information” shall include, but not be limited to :

  1. Any modifications to the terms and provisions of the Program made specifically for the Affiliate or Affiliate’s site or organization and not generally available to other Affiliates of the Program;
  2. Price guidelines, future service releases, trade secrets, know-how, inventions, processes, programs, schematics, data, pricing and discount schedules, customer lists, financial information, and sales and marketing plans relating to RVezy or RVezy’s services.

Confidential Information shall also include any information that RVezy designates as confidential during the applicability of these Affiliate Terms. Confidential Information shall not include information which is:

  1. Previously known to the other party without obligation of confidence or without breach of this Agreement;
  2. Publicly disclosed (other than to the Affiliate) either prior or subsequent to the Affiliate’s receipt of such information; or
  3. Required to be disclosed by the other party by law or by the order of a court or similar judicial or administrative body.

Affiliate shall at all times, both during the applicability of these Affiliate Terms and at all times thereafter, keep and hold such Confidential Information in the strictest confidence, and shall not use such Confidential Information for any purpose other than as may be reasonably necessary for the performance of its duties pursuant to this Agreement, without RVezy’s prior written consent.
